By accessing or using the Velvy Invoicing App (“Velvy”), you agree to be bound by these Terms of Service in accordance with the laws of the Federal Republic of Nigeria. If you do not agree to these terms, you may not use our services.
We reserve the right to modify these terms at any time. Continued use of Velvy after changes have been made constitutes acceptance of the updated terms.
2. Account Registration
To access certain features of Velvy, you must register an account. You agree to provide accurate and complete information and update it as necessary.
You are responsible for safeguarding your password and for all activities under your account. Notify us immediately of any unauthorized use.
We may suspend or terminate accounts for violations of these terms or applicable Nigerian laws.
3. Use of Services
Velvy helps Nigerian businesses manage invoices, clients, and payments. You agree to use the services only for lawful purposes and in accordance with Nigerian regulations.
Prohibited actions include:
- Violating any applicable Nigerian laws or regulations
- Interfering with the functionality of the services
- Bypassing security measures
- Uploading or transmitting harmful code
- Disrupting other users' experience
4. Billing and Payments
By subscribing to a paid plan, you agree to pay all applicable fees in Nigerian Naira (₦) or another specified currency. We may revise our pricing and will notify users accordingly.
You are responsible for all applicable Nigerian taxes. Failure to pay fees may result in suspension or termination of your access.
5. Intellectual Property
All content, features, and technology used in Velvy are the proprietary property of ClickMedia Solutions or its licensors and protected under Nigerian copyright and trademark laws.
You may not copy, modify, sell, distribute, or reverse engineer any part of Velvy unless expressly permitted by law or with written consent.
If you believe your rights have been infringed, contact us with supporting documentation.
6. Termination
We reserve the right to terminate or suspend your access immediately, without notice, for violations of these terms or Nigerian law.
Provisions that naturally survive termination—including ownership, disclaimers, indemnity, and liability limits—will remain in effect.
7. Disclaimer of Warranties
Velvy is provided “as is” and “as available” without warranties of any kind. We disclaim all implied warranties under Nigerian law, including merchantability and fitness for a particular purpose.
We do not guarantee uninterrupted or error-free service and are not liable for data loss or system failure.
8. Limitation of Liability
To the extent permitted by Nigerian law, we shall not be liable for indirect or consequential damages, including loss of profit, data, or goodwill.
Our total liability shall not exceed the amount you paid to us in the 12 months preceding the incident.
9. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved exclusively by Nigerian courts with jurisdiction in Lagos State.
